We are seeking Partnership Transaction Tax Associates for ourMinneapolis, MN office.

As a Partnership Transaction Work Associate you will work closely with our clients and transaction tax team members in providing tax due diligence, structuring, modeling, and other tax advisory services in connection with mergers, acquisitions, and reorganization transactions. Through analysis of financial and tax data, you will assist in providing insights to clients, helping them increase value and reduce tax risks and uncertainty inherent in transactions.

You will also work with the CLA service teams to deliver an integrated approach to clients before, during and after the transaction. This includes working directly with experienced Managers and Senior Associates who teach, train, and promote a great working environment.

PRIMARY RESPONSIBILITIES

  • Participate in structuring, modeling, partnership capital account maintenance and other special project engagements related to acquisitions and dispositions by private equity investor groups, family offices and strategic buyers
  • Perform tax research of transaction-related federal, state/local and international tax matters
  • Work with other CLA tax groups as needed (SALT, Global Tax and Federal Tax Solutions)
  • Perform tax due diligence projects through a review of tax returns, legal documents, and financial statements, and draft tax due diligence reports
  • Keep client team informed of engagement progress and issues encountered
  • Keep up to date with new federal, state, and international tax developments

MINIMUM REQUIREMENTS

  • Bachelor's degree in accounting, business, or a related field, or Juris Doctor from an accredited college/university
  • Eligible to sit for the CPA exam per state requirements or pursuing admission to the BAR.

  • Strong verbal/written communication and interpersonal skills.
  • Willingness to learn new technologies.
  • Proficient with Microsoft (MS) Windows and Office products, specifically Excel
  • Reliable transportation and ability to travel to client sites. Less than one year of experience in public accounting.
