THE ROLEThe Contract Lead Specialist will review, edit, negotiate, and draft complex contracts that are primarily third-party paper, but require the incorporation of contractual provisions to protect MFS' interests. You will ensure all demands within the scope of the job are performed in an efficient, timely, and priority-driven manner. Work with other stakeholders of MFS to coordinate the contract review process, while using own judgment and discretion in decision-making.
WHAT YOU WILL DOReviews, edits, negotiates, drafts, and assists in the execution of complex commercial contracts for MFS and its subsidiary companies for the purchase of goods and services. Such contracts include, but are not limited to, master agreements, SaaS/hosted/cloud agreements, software licensing agreements, maintenance agreements, statements of work, professional service agreements, and consulting agreements. Communicates with internal stakeholders and negotiates with external parties on contract issues.
Understands deadlines with internal and external parties, and ensures all deadlines are met. Works with internal and external parties to bring agreements to closure in a timely manner while providing suitable contractual protections for MFS.
Actively seeks ways to make improvements in the contract review and negotiation process, and to increase MFS stakeholders' satisfaction with same. Pro-actively reviews and offers suggestions with regard to template language and other potential process enhancements.
Develops (or assists in the development of) guides, procedures, and template agreements and other contractual language for use by MFS
Interacts with other areas of MFS and its subsidiary companies to develop procedures to enhance the quality of and flow of work.
Undertakes special projects that require knowledge and understanding of applicable law, MFS, and MFS' business and operations.
Assumes additional responsibilities as requested.
Bachelor's Degree with 5-6+ years of commercial contracts review, editing, drafting, and negotiation experience - prior financial services experience is desired.
Solid interpersonal, organizational, communication, customer-service, team-working, and problem-solving skills.
Must be thorough, detail-oriented, persistent, self-motivated, and able to function with a high degree of independence and accuracy.
Must be able to work on multiple projects while meeting competing deadlines.
An aptitude for and an interest in analytical work.
Must be able to work overtime as necessary to keep current with work.
Experience with reviewing and negotiating privacy and/or security issues.
Experience with reviewing, editing, and negotiating technology agreements (SaaS and software license agreements) and market data agreements.
Experience with current contractual topics such as AI, open source, bots.
Must be proficient in MS Office (Outlook, Word, Excel, SharePoint) and able to develop proficiency in MFS systems as required to perform the duties of this position, including utilization of an enterprise-wide contract management system.
