Job Description
Our client, an insurance company, is seeking an Associate Counsel, Commercial ContractsLocation: Chicago, ILPosition Type: Full Time Job Summary:As a member of the Corporate Legal Department in our Chicago headquarters, this attorney will be responsible for providing practical, timely, strategic, and high-quality legal advice and counsel on commercial contracts across the Company. This includes collaborating and coordinating with key business partners and other stakeholders for the Company's various business operations.Key Areas of Responsibility:-Reviewing, drafting, and negotiating a range of commercial contracts and transactions, including real estate matters-Reviewing real estate leases and agreements related to acquisitions, sales and facility development and other real estate related documents-Participating in due diligence reviews of environmental reports, title matters, surveys, zoning, service agreements, property condition assessments and other matters as needed-Managing multiple simultaneous projects involving contracts with varying levels of complexity-Working with contract lifecycle management involving new contracts, amendments, renewals and terminations-Assisting with development and revision of contract templates, policies, and procedures-Utilizing contract management system and related applications-Collaborating with internal stakeholders and other lawyers, including outside counsel, who provide operational support-Communicating and coordinating with vendors and internal business partners to determine requirements, make assessments, negotiate terms and take other necessary actions in connection with contract reviews and related projects-Providing advice to internal business partners regarding business issues such as deal terms, risk assessments, vendor comments, strategy and company policy-Supporting a risk-aware culture and ensure effective risk management practicesQualifications:-JD Degree and licensed to practice law in Illinois or with ability to obtain Illinois in-house law license-Minimum of five to eight years' experience in a law firm and/or as an in-house attorney with focus on commercial contracts-Experience with real estate law, including lease review and negotiation-In-depth knowledge of contract law and commercial issues-Excellent verbal and written communication skills, attention to detail and solid analytical skills-Creative problem-solving ability with a focus on achieving business solutions while managing company risk-Highly-driven and self-motivated-Ability to efficiently prioritize and manage a large volume of projects and transactions-Strong negotiation and organization skills -Ability to produce high quality work under deadline pressures-Team player able to build relationships with Legal Department colleagues and internal business partners
