Senior Legal Counsel - Asset Servicing, Capital Markets As a member of Northern Trust's Legal Department, this attorney will be responsible for providing high quality legal advice and counsel to our rapidly growing Capital Markets business in a manner consistent with our enduring principles of service, expertise and integrity. This attorney will work closely with the Assistant General Counsel, while also working collaboratively with colleagues in Swaps & Derivatives, Treasury Management, Capital Markets, and Credit teams globally. Major Duties * Manage and maintain the periodic collateral enforceability and netting review process for the Bank's securities financing and derivatives transactions * Obtain, review and analyze netting and collateral enforceability legal opinions available through industry associations or bespoke opinions from local counsel associated with repo, stock lending and derivatives documentation * Draft, review and negotiate various legal agreements supporting new and existing lines of business across Capital Markets such as master repurchase agreements, master securities loan agreements and ISDA master agreements (including schedules and credit support annexes) * Support and maintain document management and digitalization program, including regular updates to standard forms and templates of master repurchase agreements, master securities loan agreements and ISDA master agreements (including schedules and credit support annexes) * Advising internal stakeholders on applicable existing and upcoming regulations impacting the business globally Qualifications: * Minimum 5 years experience at a nationally recognized law firm and advising clients in the financial services industry * JD from an accredited law school and admitted to practice or willing to secure bar admission in Illinois Knowledge/Skills: * Drafting and negotiating master netting agreements such as master repurchase agreements, master securities loan agreements and ISDA master agreements (including schedules and credit support annexes) * Familiarity with industry standard utilities and tools such as AOSphere's NetAnalytics, SLAnalytics, and CSAnalytics * Knowledge of and familiarity with applicable banking, corporate, and securities laws and regulations, including one or more of the US Bank Holding Company Act, Dodd Frank Act (Title VII and/or the Volcker Rule), Basel III Capital Rules and ERISA * Experience independently managing or leading deal teams or program implementation * Excellent organizational, interpersonal and communication skills with the ability to collaborate across inter-disciplinary teams to meet client needs * Exceptional writing and research skills, reflecting self-motivation, attention to detail and effective issue spotting About Northern Trust: Northern Trust provides innovative financial services and guidance to corporations, institutions and affluent families and individuals globally.
