TransformCo, the owner of the Sears and Kmart retail and online stores, Sears Home Services, Kenmore and Shop Your Way, is looking for a smart and creative Counsel to join our legal team and support our transition from a traditional brick-and-mortar retailer to a nimble and innovative company focused on finding new ways to better customers' lives and expand our home services and online businesses.

As Counsel, you will handle a wide range of commercial contract and regulatory matters, providing advice to our Sears Home Services, Online, Marketplace, and Sears & Kmart retail business groups. You will edit, draft and negotiate agreements with an eye toward minimizing risk and reducing costs, while ensuring compliance with the law. You will also monitor and report on federal, state, and local legislative and/or regulatory changes and provide legal and strategic advice to business units, including ensuring compliance with laws and identifying legislative and/or regulatory opportunities. Your strong attention to detail, your comfort working one-on-one with internal clients, negotiating with vendors, and your ability to apply good, business-focused judgment are key attributes that will make you successful in this role.

Job Requirements

Your typical day may look something like this:

* Structure, draft and negotiate a wide variety of commercial contracts, including repair and home improvement agreements, service agreements, supply agreements, contractor agreements, marketing agreements, and non-disclosure agreements.
* Provide counseling and advice relating to a wide range of regulatory and licensing matters, including those involving contractor trade and other licenses, home services, supply chain, product safety, consumer contracts, marketing, online, retail, and automotive.
* Prepare and present training to business unit personnel.
* Support reviews and analyses of contracting performance and management within the organization and assist in the development of best practices and procedure.

* A licensed attorney with two or more years of sophisticated experience, either in-house or at a law firm.
* Comfortable with contracts, commercial law and negotiating to get the deal done
* Great at writing, and able to make complex legal things easy to understand
* Comfortable with research and analysis of statutes and regulations
* Adaptable, and eager to learn and do new things
* The kind of person who loves to look for ways to do things differently and better - you think up new ideas and run with them
* A team player, flexible and willing to pitch in wherever you're needed
