This role is for Counsel, North America and can be based remotely
Reporting to VP, Senior Counsel, Higher Education, North America Courseware,
Antitrust/Competition.
The Counsel will act as legal counsel to one or more of the following groups: (1) Higher Education;
(2) Pearson Canada; (3) Higher Ed Sales; (4) Higher Ed Services; and (5) North America marketing
(the "Pearson Groups").
In that capacity, the Counsel will provide strategic legal advice and guidance to the business on
highly complex, high-risk legal matters. The Counsel will act as the primary "go-to" person for
both clients and other members of the legal department for legal matters involving one or more of
the Pearson Groups, as designated by the VP, Senior Counsel.
The Counsel will be able to leverage support from the Transaction Services Center (the "TSC"), but
will also be responsible for negotiating and drafting complex transactional documents, including,
but not limited to, technology and other IP licenses, distribution agreements, publishing
agreements, development agreements, and services agreements. Knowledge of IP, technology and
privacy law will be a plus. The Counsel will be responsible for developing and maintaining form
agreements and playbooks for use by the TSC. The Counsel will be expected to provide proactive,
strategic legal input in respect of the Pearson Group's legal, commercial, managerial and
organizational issues and will work closely with other members of the global legal department,
external legal counsel, senior management and employees at all levels of the organization.
The Counsel will also be expected to work with other legal groups within Pearson to create
efficiencies and develop consistencies in legal approaches in connection with matters that are
handled in different legal groups.

Qualifications
Qualifications
Law degree (J.D.) from a well-regarded and accredited university or law school
Admitted and in good standing to practice law in at least one US state
Minimum of four (4) years of experience as a practicing lawyer, with a well-regarded law firm
and/or a corporation, preferably in the publishing or digital media sectors
Knowledge of IP, technology and privacy law preferred
Ability to understand business objectives and assess risk, and to provide sound legal advice
that is responsive to the business needs
Strong organizational skills, with the ability to work independently and accurately under
tight deadlines
Ability to manage a challenging workload independently in a fast-paced work environment,
while exercising good judgment and making sound decisions
Extremely detail-oriented, proactive, efficient and able to multi-task, prioritize and follow
projects through to completion
Strong written and verbal communication skills (including good listening skills) and the
ability to communicate and interact effectively with business counterparts at all levels of the
organization
Ability to lead and/or work well in a cross-functional, team environment
Versatile and self-motivated individual with the ability to think creatively on matters
requiring creative alternatives and solutions
The anticipated starting salary range for Colorado-based individuals expressing interest in this
position is $110K to $120K. This position is eligible to participate in an annual incentive
program.
