The Corporate Counsel, Labor & Employment is primarily responsible for advising ABIOMED on the management and handling of all labor and employment related matters, with a secondary focus on assisting with the reporting and governance obligations of a publicly traded company. This position is based at ABIOMED's headquarters in Danvers, MA, and will report to Senior Corporate Counsel. As a valued partner to the business, the Corporate Counsel, Labor & Employment will be the direct point of contact for ABIOMED's Human Resources Department and generally assist in all employment related matters, including advising on and drafting documents related to leaves of absence, non-compete provisions, terminations, and litigation. In addition, this position will also advise and assist with shareholder meetings, SEC filings, and other corporate matters.

KEY RESPONSIBILITIES:

  • Provide day to day support and counsel to Human Resources and the business on employee hiring, terminations, performance management, investigations, discrimination/harassment claims, accommodations, benefits, wage and hour laws, leaves of absence, litigation, and other employment related matters
  • Work closely with Human Resources to develop, maintain and implement employment-related policies and trainings
  • Draft employment-related documents including offer letters, employment agreements, separation agreements, non-compete provisions, warning letters, etc.
  • Assist with and guide senior management in the preparation, carrying out, and follow-up of shareholder and board of directors meetings; draft minutes of such meetings
  • Draft and review proxy statements, SEC filings, etc.

REQUIREMENTS:

  • Juris Doctor or comparable legal degree and authorization to practice law in Massachusetts
  • Minimum of 5+ years corporate in-house or law firm experience, preferably in Life Sciences or other highly regulated industry
  • Proven specialization and expertise in labor and employment law
  • Experience in handling corporate matters for publicly traded companies
  • Exceptional written and oral communication skills
  • Self-starter and a team player with creative problem solving ability
  • Demonstrated experience working independently to identify, analyze, and solve problems
  • Prioritizes conflicting needs; handles matters confidentially, expeditiously, proactively and follows through on tasks until successful completion
