Job Description:Experienced financial services attorney with a strong background in secured lending who is able to provide broad based internal legal support and strategic advice to the commercial lending businesses of Bank of America, N.A.Primary focus is to provide legal support in structuring, negotiating and documenting syndicated and bilateral commercial loans ranging from approximately $5 million to $1 billion or more. Responsibilities will also include legal support for related transactional matters such as bankruptcy, workouts and restructuring, and, on a limited basis, litigation.The position requires a close working partnership with line of business clients at all levels, and also with other internal legal colleagues, as well as syndications, treasury, risk management, compliance, regulatory and audit partners supporting those lines of business.Required Skills & Experiences:5 years relevant experience with emphasis on structuring, drafting and negotiating documentation for single lender and syndicated secured commercial credit facilities.Relevant documentation and transactional experience should include some work with single lender and syndicated credit agreements, security agreements, deposit account control agreements, inter-creditor agreements, commitment letters and term sheets, and confidentiality agreements.Candidates must possess strong communication and drafting skills and demonstrate experience and confidence in risk identification and analysis, and risk management decision making.Must have JD and at least one state bar admission (active/good standing)Desired skills and Experiences:Bankruptcy/Workout experienceLitigation experienceEnterprise Description:Provides general legal counsel to the commercial banking businesses, as well as specific advice on products, services and certain legal actions.
