Corporate Counsel Position Description:
We have an opportunity for a regulatory compliance attorney with substantial experience in residential mortgage lending. We are a small law department serving a large, matrixed organization of individual companies operating in regulated business lines centered on the residential home buying and selling process. We are a team of dynamic and engaged legal professionals who enjoy working together with our corporate group and operating companies in a fast-paced, results-oriented environment. Our lawyers take on significant responsibility with challenging and rewarding work.
In addition to required experience in mortgage lending compliance, proficiency in at least one of the following areas is preferred: complex commercial agreements, corporate law and governance, internal audit and investigation.

Key areas of responsibility for the position include:
- Providing advice and assistance on laws governing residential mortgage lending and real estate-related services generally (including RESPA, FHA, ECOA, UDAAP, TILA, and state licensing and regulation of business lines).
- Developing company policies and programs; advising management on emerging issues.
- Conducting regulatory-compliance reviews of operating companies and acquisition targets.
- Drafting and review of corporate-governance documents.
- Collaborating with subsidiary executives and counsel, outside counsel, and internal management.
- Structuring, negotiating, and drafting complex commercial agreements.
Position Requirements:
- J.D. from an ABA-accredited law school.
- At least 5 years practicing law.
- Must be admitted to practice in Minnesota.
- Self-starter personality, with initiative and resilience; strong project-management skills preferred.
- Ability to present information and reports timely, clearly, and concisely.
- Well-developed judgment and problem-solving skills.
- Client-service orientation.
- Uncompromising ethics.
- Some travel will be required.
