Wolters Kluwer Health is searching for an experienced, strategic transactional attorney with expertise in structuring, drafting and negotiating complex licensing and strategic alliance transactions and creating and implementing innovative solutions to complex legal and business issues related to strategic alliances and partnerships with customers, technology partners, and platform vendors. Reporting to the VP & Associate General Counsel for the Health Division, this role is crucial to the continued growth and evolution of one of the leading global healthcare technology companies. To be successful in this role, you must have the ability to anticipate and assess legal and business risks associated with complex deal structures and transactions, communicate recommendations to senior business leaders, and advise on acceptable risk levels in line with the company's business objectives. You will be expected to draft and negotiate complex licensing and strategic commercial agreements and develop pragmatic and innovative solutions to complex legal issues and business structures. This is a highly visible, strategic position, working across internal teams to build the infrastructure that will drive revenue growth. **Position Location:** The Managing Legal Counsel position can be based in Denver, CO; Madison, WI; Riverwoods, IL; Waltham, MA; New York, NY; or remotely. **Basic Functions and Principal Responsibilities:** The Managing Legal Counsel will provide legal advice and guidance to the Health Division on a wide variety of complex commercial and contractual matters, as well as providing legal services for the Health Division on a global basis. Specific accountabilities and responsibilities are expected to include the following: + Provide hands-on legal support in all aspects of structuring, drafting, negotiating, interpreting, managing, enforcing or defending and counseling on risks relating to strategic transactions, business development or commercial alliance arrangements with domestic and foreign third parties, including reseller or distribution arrangements, translation or digital conversion agreements and electronic integration or combination arrangements + Provide hands-on legal assistance in structuring and drafting, negotiating, interpreting, managing and enforcing appropriate contracts for material and high-value commercial transactions, including customer and strategic partner offerings and arrangements (including the preparation of Software as a Service "SaaS"), licensing, subscription and/or implementation or services agreements covering offerings or services from a single or multiple Health Division businesses), + Provide comprehensive legal counseling regarding a broad spectrum of corporate, regulatory compliance and intellectual property matters impacting the Health Division, including legal trends and issues related to HIPAA/HITECH Act compliance, healthcare information technology (HIT) developments and regulatory initiatives, and general federal and state healthcare regulatory schemes. + Advise the business on the protection, management and monetization of intellectual property rights (including traditional content and software copyrights, patents, trademarks and trade secrets) and on the legal terms, security and proactively identify and implement such intellectual property tracking, monitoring, training and protection programs and opportunities through oversight and improvement of and training regarding the use and protection of intellectual property. + Effectively manage, in a cost-efficient manner, outside counsel (in the US and abroad) who may support the Health Division's legal needs, whether transactional, litigation or compliance in nature, and collaborate and work closely with other attorneys within the Law Department who also may be involved in providing subject matter legal support or expertise, directly or through supervision of outside counsel, in areas such as litigation, human resources/employment or benefits matters, specialty IT/IP areas or M&A transactions. + Develop a strong rapport and working relationship with the Health Division management team and key leadership and other representatives of the Health Division business units to help drive the delivery of effective and high quality legal services that are appropriately linked to the relevant business needs of the Health Division businesses, while at the same time helping drive greater consistency of approach and standards throughout the Health Division. + Work with the VP and Associate General Counsel - Health Division and others on process and contracting improvements within the Health Division to help create greater consistency and process within the Health Division, including appropriate contract standardization and contract process improvement for, and use of appropriate technology to support, existing, new or acquired business units and product lines. + Develop an in-depth knowledge and understanding of the Health Division, its people, organization, markets, products, customers, competitors and regulatory environment, in order to identify trends, stay abreast of material developments and provide high level legal/commercial advice to the businesses on emerging opportunities and risks. EDUCATION AND EXPERIENCE: + Candidates are required to have both a bachelor's degree and law degree (J.D. or L.L.B.) + Seven (7) or more years of progressively responsible corporate/commercial legal experience, preferably with a law firm and an established corporate law department. + Experience working in the health industry (including those documenting intellectual property-intensive transactions), from structuring, negotiating and documenting appropriate contractual arrangements to advising on their implementation and post-signing management and interpretation. + Experience working for private equity businesses and/or businesses with investments in companies whose growth strategies are predicated on partnerships and strategic alliances would be preferred. + Experienced with strategic transactions involving online exchanges such as Amazon Web Services, Microsoft, and cloud-based ecosystems is preferred. + Candidates must have a strong working knowledge of and experience and comfort with key health information technology and intellectual property legal concepts, including those relating to SaaS subscriptions, software licensing, and e-commerce transactions. + Strong understanding of HIT concepts, software licensing and SaaS subscription and other arrangements, as well as HIPAA/HITECH Act compliance.
