Working with a dynamic team, including Arctic Wolf Network's senior management, and business partners, the Senior Counsel role will prepare and negotiate customer, partner, certain vendor contracts, and advise on the company's export and trade compliance efforts.Responsibilities Analyze, draft, and negotiate complex vendor and customer contracts, including, subscription, software licensing and services arrangements, partner and alliance agreements, and other commercial agreements for the Americas territory. Support the needs of the Americas sales teams to manage the contracting process and drive deals to closureAdvise on company's export and trade compliance policies, processes, and related compliance.Where assigned, advise stakeholders regarding relevant issues and risks, and ensure our agreements reflect internal corporate policies and processes.Aid in the adoption and execution of controls necessary to ensure compliance as an employer and third-party service provider, including drafting, reviewing, updating, and enforcing internal policies and procedures.Help enable the business to execute on commercial changes by understanding and providing guidance on relevant legal, privacy, and other compliance issues. Contribute to the formulation of playbook positions, the continuous improvement of department processes and templates, and assist with a range of commercial and corporate legal matters.Conduct and contribute to other legal projects as needed Required Skills/Experience Undergraduate and Juris Doctor from highly regarded schools and member of a state bar8+ years combined experience in commercial transactions as a lawyer or senior leader as in-house counsel, focusing on technology transactions (technology company preferred) or at an established law firm that services tech companies.Strong background in U.S. Export and Trade regulation and compliance. Multi-jurisdiction experience a plus.Sound and practical legal and business judgment with the ability to assess risks and communicate those risks to business partnersExcellent written/verbal communication and negotiation skillsAbility to organize, prioritize and manage deadlines in a fast-paced work environmentHighly responsive and service-oriented attitudeSubstantive expertise with enterprise subscription agreements and related mattersSubstantial experience in supporting sales and channel departments as an internal clientExperience navigating data privacy and security issues in a commercial contextAbility to work in a high-volume environment while remaining analytical and detail-orientedAbility to own a process from start to finish and implement processes independentlySelf-motivated yet able to work in a team environmentProven ability to take initiative and build strong, productive relationships with team members and customers.
