The Securities Attorney will provide legal advice primarily with regard to securities matters and corporate governance.
Responsibilities
Review and prepare annual stock holder meeting materials
Review and prepare periodic SEC reports, including the Proxy Statement and Forms 10-K, 10-Q and 8-K
Assist in developing and maintaining policies and procedures to ensure compliance with Sarbanes-Oxley, NYSE Regulations, SEC Regulations, and other regulations applicable to public companies
Review press releases and other disclosure materials
Advise on general corporate and securities issues, including issues relating to securities matters, M&A transactions, corporate governance, corporate policies, procedures and programs, and equity compensation plans
Assist with corporate governance and the corporate secretary function
Assist with securities offerings, including equity and debt offerings
Work closely with the Finance group in handling financing transactions
Conduct or support due diligence review of corporate files
Help the business formulate strategies and make decisions that achieve their goals and objectives while understanding risks and complying with all laws and regulations
Keep the General Counsel apprised of the status, and seek input from the General Counsel on major decisions and issues
Educate and train employees on good business practices to avoid and/or minimize legal risk to the company
Qualifications
8+ years legal experience with an emphasis in Securities and Corporate law
Significant experience in federal securities laws and practice, including the Securities Act of 1933 and the Securities Exchange Act of 1934
Prior experience with a major law firm
Bachelor's degree from an accredited university
J.D. from top tier ABA accredited law school
Excellent business judgment, ability to think strategically and give practical advice
Excellent interpersonal skills; must work well in a fast-paced, highly collaborative, team environment
Team Player who is able to work independently
Strong drafting skills and the ability to contribute using a hands-on approach
Detail-oriented
Self-motivated with ability to take ownership of projects and practice area
Experience in engaging with management to improve and implement processes and procedures
Flexibility to work on a wide range of projects and with those at various levels within the organization, including the Board of Directors
