CAS is currently seeking a Corporate Counsel. This position will be located in our headquarters in Columbus, Ohio.

Qualifications:

  • Ability to influence, persuade and negotiate while taking into account legal considerations and business goals
  • Detail oriented, with a practical approach to solving complex legal problems; ability to organize, prioritize, and manage projects effectively in a dynamic, fast-paced environment
  • Excellent interpersonal skills with a proven ability to work collaboratively and effectively
  • Ability to communicate with colleagues at various levels of the organization (support functions to executive team) in a plain and simple manner
  • Ability to work independently with little supervision while delivering results that meet or exceed expectations
  • Enthusiasm for learning with a proven ability to gain competence quickly and independently

Education and Experience:

  • Juris Doctorate from an accredited law school
  • 5-8 years of relevant in-house or law firm experience (combination of both preferred)
  • Experience advising and counseling clients and drafting and negotiating complex commercial agreements; experience with licensing of intellectual property is a plus
  • Proficiency in Microsoft Office suite including Outlook, Word, PowerPoint and Excel

Duties:

Reporting to the Managing Corporate Counsel, the selected candidate will provide ongoing business and legal guidance and risk analysis. The selected candidate will also collaborate with cross-divisional teams and executive management on strategic business initiatives and internal operations.

This business-focused role requires creativity, a solution-oriented mindset, and the ability to handle sophisticated transactional matters.

Key responsibilities and areas of focus include but are not limited to:

  • Negotiate and draft a wide variety of commercial agreements with an emphasis on information technology and licensing and redistribution of CAS intellectual property assets
  • Negotiate and draft a variety of domestic and international agreements such as services statements of work, software and hardware license agreements, partnership agreements, content acquisition and distribution agreements, confidentiality agreements, contractor and consulting agreements, and other general business contracts
  • Serve as the legal lead for structuring and negotiating strategic collaborations and partnerships between CAS and other organizations
  • Work cross-functionally with business clients to draft contract terms, provide business-focused solutions and ensure agreements reflect strategic goals and mitigate risk for CAS
  • Build relationships with executives, project teams, and peers across CAS
  • Develop a thorough understanding of the CAS portfolio of products and services and its customers, market and competitors
