ANSI POSITION DESCRIPTION

1.         General:

2.         Position Summary:

The Legal Department for the American National Standards Institute ("ANSI") and its two affiliates, Workcred, Inc. ("Workcred") and the ANSI National Accreditation Board ("ANAB") is currently comprised of two lawyers and one non-lawyer Program Manager.  Collectively, we make critical decisions that impact the ANSI corporate family.  The Program Administrator for Legal Affairs will be a program administrator who will function as a central member of ANSI's legal team, assisting the General Counsel, Associate General Counsel and Manager of Legal Affairs in all aspects of the provision of legal support to ANSI and its two affiliates, Workcred and ANAB ("Affiliates").  This includes assisting in all matters affecting ANSI and its Affiliates' contractual obligations, compliance requirements, litigation, intellectual property and like matters and assisting in special projects undertaken by the Legal Department on an as needed basis.  This Program Administrator will work with all other members of the Legal Department providing support as and where needed.

3.         Essential Requirements of Position:
  • Work effectively with ANSI's General Counsel, Associate General Counsel, Manager of Legal Affairs and other members of the Legal Department on a broad range of legal and governance matters relating to ANSI and its Affiliates
  • Assist in the preparation of meeting agendas and reports for governance, intellectual property and Legal Department meetings
  • Work with outside counsel as necessary in accomplishing the tasks of the Legal Department
  • Oversee intellectual property portfolio of copyrights and trademarks and work with outside counsel in connection with the filing of appropriate copyright and trademark registrations for International Organization for Standardization (ISO), ANSI and ANSI's Affiliates
  • Investigate possible copyright/trademark infringements by third parties relating to ISO, ANSI and its Affiliates and, with legal oversight, prepare and issue cease and desist letters using a pre-approved template
  • Process subpoenas served on ANSI/ANAB and, with legal oversight, prepare responses
  • Work with the ANSI membership department to issue ANSI's annual call for nominations to ANSI's various committees, forums, groups and governance entities
  • Review contracts relating to ANSI and its Affiliates as directed, identify legal deficiencies and problematic provisions, and provide the General Counsel and/or Associate General Counsel with necessary information regarding each 
  • Ensure that all executed contracts for ANSI and its Affiliates are properly filed in the ANSI contracts database
  • Ensure that the legal files contained in SharePoint and Fileserver are organized, tracked and readily accessible to the members of the Legal Department
  • Assist in corporate policy development and management, including by updating and assuring consistency in workplace policies and procedures
  • Increase the Legal Department’s response time in addressing legal issues
  • Take on additional special projects requiring research and analyses of matters of legal importance to ANSI and its Affiliates
  • Perform other administrative functions related to the Legal Department, including arranging for meetings, scheduling calendar entries as necessary, maintaining legal budgets, reviewing legal bills (including bills from outside counsel and bills from other vendors) and arranging for their payment 
  • Engage in limited travel, as needed

4.         Education and Training:
  • Bachelor's degree, preferably also with 3-5 years of work experience. Particular experience in trademarks, contracts and/or corporate governance are a plus, but not required.

5.         Skills and Experience:
  • Extremely organized and disciplined.
  • Strong commitment to excellent and timely output.
  • Eagerness to cross-train, identify solutions and contribute to improvements.
  • Ease with interacting with all levels and types of inquirers: CEOs, public, ANSI Members, ANSI and its affiliates' officers, management and staff,  volunteers, etc.
  • Interest in reading and assessing complex documents.
  • Analytical ability.
  • Attention to detail and superior proofreading skills.
  • Clear writing skills and ability to draft emails, letters and (with training) legal/transactional documents, including draft responses to subpoenas, cease and desist letters, resolutions, agreements, contracts and other like documents.
  • Familiarity with Microsoft office, including Word, PowerPoint, Excel and database programs generally.  Ability to learn quickly company invoice-processing, time-entry and other like programs.
  • Interest in making a long-term commitment to learn all aspects of ANSI's legal work and needs.
